Job Summary:

NinjaHoldings is seeking a detail-oriented, positive, and hard-working Corporate Counsel who will report directly to the Associate General Counsel. The Corporate Counsel will be responsible for the review, drafting, and negotiation of third-party vendor agreements across all business lines in such a way that furthers business objectives while effectively managing risk. This role will collaborate and interface with other departments, becoming the go-to internal resource for third-party vendor agreements. This is an exciting and rare opportunity for an entry-level attorney to join a growing legal department within a well-capitalized fintech startup. While our corporate office is located in downtown Chicago, this position has the potential to be fully remote or hybrid.

Key Responsibilities:

  • Review, draft, and negotiate third-party including non-disclosure agreements, service agreements, and technology and software-as-a-service (SaaS) agreements in accordance with internal contracting guidelines, across all business lines and departments, including Human Resources, Marketing, and Operations
  • Collaborate with relationship owners on matters that may arise after the ink dries (e.g., facilitating contract amendments, renewals, terminations, etc.)
  • Close collaboration with Compliance Department on initial and ongoing vendor due diligence, risk assessments, etc.
  • Responsible for maintaining and updating company contract templates as needed, and template contract addenda
  • Responsible for creating and managing a contracting framework for our EDGE™ business line
  • Responsible for ensuring contracts repository remains up to date and complete
  • Maintain a working knowledge of all company policies and procedures, including laws and regulations applicable to the company
  • Related projects as needed

Requirements:

  • J.D. from ABA-accredited law school
  • Licensed to practice law in Illinois or another state, or recent law graduate eligible to take the Bar
  • 0-2 years’ related in-house experience (or corporate law experience in private practice)
  • Advanced knowledge of Microsoft Word, Excel, and cloud-based software generally
  • Resilient with a sense of humor; self-motivated and intellectually curious
  • Logical thinker and attentive to detail; strong writing and grammar skills; keen sense of personal responsibility
  • Demonstrated ability to comprehend consequences of various situations, anticipating potential risk, and knows when to ask for help/support
  • Professional and effective communication style both internally and when corresponding with third-parties (verbal and written)

Additional Pluses, but not requirements:

  • A strong desire to improve processes and maximize efficiency
  • Familiarity and personal interest in corporate transactional work and in-house practice, and/or the consumer financial services/fintech space
  • Personal interest in continued professional learning in areas related to this role (e.g., CLE, emerging industry trends)
  • Comfortable developing and delivering presentations to small and large audiences
